These Terms of Use and End User License Agreement (“Terms”) govern your use of Presets Agent (the “App”), provided by Semantic Works LLC (“Semantic Works,” “we,” “us,” or “our”).
By installing or using the App, you agree to these Terms. If you do not agree, do not install or use the App.
We grant you a limited, non-exclusive, non-transferable, revocable license to install and use the App on macOS computers that you own or control, subject to these Terms and any applicable purchase, subscription, or license conditions. The App requires a valid license to operate fully and may periodically connect to our servers to verify your license status.
You may not sell, sublicense, distribute, copy, modify, or reverse engineer the App, except where applicable law expressly permits such activity.
The App runs locally on your computer and connects to Adobe Photoshop Lightroom Classic.
The App may allow compatible applications, including AI assistants, large language models, coding assistants, or other local clients, to connect to the App’s local server and issue commands to Lightroom Classic.
Commands issued through the App may modify photographs, editing settings, metadata, presets, selections, or Lightroom catalogs.
The App executes commands received from software that you choose to connect. We do not create, control, review, or verify those commands.
The App is designed to operate locally on your computer. The App makes two types of periodic server connections:
These connections do not collect, log, or transmit any other data from your computer.
The App does not send your photographs, Lightroom catalog information, prompts, commands, editing settings, or other user content to us or to our servers.
Inbound connections. Applications you connect to the App's local server (such as AI assistants or coding tools) may send commands to the App, and may separately handle prompts, images, or other information according to their own terms and privacy policies. We do not control what those applications do with your data.
Outbound connections you configure. If you configure the App to connect to a third-party AI service (such as Google Gemini) using your own API key or credentials, the App itself will send the images, prompts, and other content you submit through that feature directly to that service. That service's handling of the information is governed by its own terms and privacy policy, not ours. See Section 4 for your responsibility for usage costs under these connections.
We are not responsible for the privacy, security, availability, accuracy, or conduct of third-party applications or services.
You are responsible for:
You assume the risk that a command may produce an unwanted result, overwrite edits, alter metadata, change photographs, damage a catalog, or cause loss of work.
Third-Party API Keys and Usage Costs. The App may allow you to optionally connect your own third-party accounts, APIs, or developer services (such as Google Gemini, OpenAI, or other providers) by entering your personal API keys or credentials. If you choose to connect these services, you are solely responsible for all usage, API calls, token consumption, and financial costs incurred under your accounts. Semantic Works does not control third-party pricing, token usage, or rate limits, and we are not liable for any third-party charges, fees, or unexpected expenses resulting from commands or workflows executed through the App.
You may not use the App:
The App, including its software, design, documentation, trademarks, and related intellectual property, is owned by Semantic Works or its licensors.
These Terms grant you permission to use the App. They do not transfer ownership of the App or any related intellectual property.
Adobe and Lightroom are trademarks of Adobe Inc.
The App is an independent product and is not affiliated with, endorsed by, or sponsored by Adobe, Anthropic, Amazon, Cursor, OpenAI, Google, or any other provider of compatible software or AI services.
The App's source code, compiled binaries, internal architecture, documentation, and related materials are proprietary to Semantic Works. Your license permits use of the App in compiled form only. You may not decompile, disassemble, reverse engineer, or otherwise attempt to derive the source code of the App, except to the extent that applicable law expressly permits such activity notwithstanding this restriction.
The MCP tool schemas that the App exposes to connected clients during normal operation are functional interface descriptions necessary for interoperability and are not treated as confidential.
We may provide updates, corrections, security changes, or new versions of the App, but we are not required to do so.
We may modify, suspend, or discontinue all or part of the App at any time.
We reserve the right to disable or restrict access to the App if the license cannot be validated, has expired, or is found to be invalid or unauthorized. If license validation fails, the App's services may stop functioning until a valid license is confirmed. We do not guarantee that the App will remain compatible with future versions of macOS, Lightroom Classic, third-party AI applications, or other software.
No Refunds: Due to the nature of our products, we do not offer free trials or refunds except where required by applicable consumer protection law. All sales are final. We encourage you to review all product online documentation before making a purchase. If you have any questions about our product before purchasing, please reach out to our team—we are happy to help you decide if it's the right fit for you!
Billing & Cancellations: Subscriptions are billed on a monthly or annual basis. When you cancel, your licenses remain valid through the end of your current paid term. We do not provide prorated refunds for unused time within a billing period.
Service Availability: Because our software relies on third-party platforms and APIs, availability is subject to their ongoing support. If the App becomes permanently unavailable due to third-party platform changes beyond our control, we will provide a prorated credit for the remaining unused portion of your subscription.
Your license ends automatically if you materially violate these Terms.
Upon termination, you must stop using and uninstall the App.
Sections concerning ownership, disclaimers, liability, governing law, and other provisions that by their nature should continue will survive termination.
THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEMANTIC WORKS DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, RELIABILITY, SECURITY, COMPATIBILITY, AND NON-INFRINGEMENT.
We do not guarantee that the App will operate without interruption, errors, security vulnerabilities, incompatibilities, or loss of data.
We do not guarantee the accuracy, safety, suitability, or results of commands generated by AI systems or other third-party applications.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEMANTIC WORKS WILL NOT BE LIABLE FOR LOST OR DAMAGED PHOTOGRAPHS, LOST EDITS, ALTERED METADATA, DAMAGED LIGHTROOM CATALOGS, LOSS OF DATA, LOST PROFITS, BUSINESS INTERRUPTION, OR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE APP.
SEMANTIC WORKS' TOTAL LIABILITY ARISING FROM OR RELATED TO THE APP WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR $50 IF YOU USED THE APP WITHOUT PAYMENT.
Some jurisdictions do not allow certain warranty exclusions or limitations of liability. In those jurisdictions, these provisions apply only to the maximum extent permitted by law.
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
Any legal proceeding arising from or relating to these Terms or the App must be brought in the state or federal courts located in Hillsborough County, Florida. You and Semantic Works consent to the jurisdiction and venue of those courts.
We may update these Terms from time to time. We will notify you of material changes by posting a notice within the App interface.
Updated Terms will be identified by a revised effective date. Your continued use of the App after updated Terms take effect constitutes acceptance of the updated Terms.
These Terms constitute the entire agreement between you and Semantic Works concerning the App and replace any prior discussions or agreements concerning the App.
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.
Our failure to enforce any provision is not a waiver of that provision.
